Dow Schofield Watts advised Cheshire headquartered RSK Group on its acquisition of ADAS in a deal that makes RSK one of the biggest environmental consultancies in the country.
The transaction adds new services to RSK’s portfolio of environmental, engineering and technical support services and provides synergistic growth opportunities for both businesses.
ADAS is the UK’s largest independent provider of agricultural and environmental consultancy, rural development services and policy advice. RSK acquired the business, operating assets and employees engaged in the business.
The ADAS business, including about 300 employees located at more than 15 sites across the UK, transfers to RSK. The ADAS brand will be retained and the business will operate as a new company called RSK ADAS Ltd, a wholly owned subsidiary of RSK.
Dr Alan Ryder, Chief Executive Officer, RSK Group plc said: “I am delighted to join forces with ADAS. The company has extremely experienced and skilled people who share our common values. RSK and ADAS see food production, energy and the environment as the most important issues facing humanity, so we will work together to deliver the best solutions for our customers.”
Mark Watts and Tony Meakin of Dow Schofield Watts provided corporate finance advice to RSK while Nicola Merritt, Rob Parker and Mughees Saleem of DSW Transaction Services completed the due diligence.
Mark Watts said: “We are delighted to have worked with RSK again on this latest acquisition and fundraising. This transaction really does set RSK apart from others and places them as the number one consultant in the UK able to advise on the environment with very deep scientific and technical resource.”
