DSW’s Corporate Finance team in Yorkshire & the North East has advised on the sale of Premiere Products by James Briggs (Holdings) Limited to Buxton-based Selden Research Limited (“Selden”).
Premiere Products supplies market leading, specialist, branded and private label janitorial cleaning chemicals to professional cleaning trade channels and consumer markets worldwide.
Selden is the UK’s leading independent manufacturer of professional cleaning and hygiene products.
Selden recognised this as an excellent opportunity to acquire and develop what is one of the longest established and most respected brands in the sector. The Premiere Products portfolio is a perfect fit into the Selden offering and to its distribution channels and manufacturing capability. Production will move to Selden’s well invested factory in Buxton where it has already added additional manufacturing capacity, a new anti-bacterial focused lab and has plans to start extending the main warehouse and new administration centre this summer.
James Briggs (Holdings) Limited is backed by Endless and will continue to focus on its core aerosol activities.
The DSW team consisted of Roger Esler, Paul Herriott and Matt Thompson.
Paul Blackaby, CFO of James Briggs, commented:
“DSW was appointed by the James Briggs Group to dispose of Premiere Products that had been classified as non-core following a strategic review undertaken by the Board. The team provided expert and practical advice on how to present the opportunity in its best light and prepared a detailed Information Memorandum, which attracted significant interest. Further, they worked tirelessly in ensuring that no-stone was left unturned in assessing the best value proposition for the Group through a series of meetings and due diligence exercises. Once exclusivity had been awarded to the preferred prospective acquirer the sale was completed in 12 working days and DSW were instrumental in ensuring that a successful disposal was completed that fully met the Board’s requirements from a timing and value perspective. Finally, the DSW team are very easy to work with; goal orientated but calm, considered and challenging in their advice. I would certainly hope to work with them again.”
